Terms of Sale

These Terms of Sale govern the purchase of products from
my-wall-clock.com. They are supplemental to our full
Terms of Service, which also apply to every order and include important provisions regarding
binding arbitration,
class action waiver, limitation of liability, and governing law. In case of any conflict between this document and the Terms of Service, the Terms of Service prevail.
OVERVIEW
This website is operated by IC-Expert LLC, a limited liability company organized under the laws of the State of New Mexico, United States ("we", "us", "our"). These Terms of Sale apply to all purchases of products made through my-wall-clock.com (the "Site"). By placing an order, you confirm that you have read, understood, and agreed to these Terms of Sale and our Terms of Service.
SECTION 1 — ELIGIBILITY
To place an order, you must be at least 18 years old and have the legal capacity to enter into a binding contract under the laws of your jurisdiction. You may not use our products for any illegal or unauthorized purpose, nor may you violate any laws in your jurisdiction (including U.S. federal, state, and local laws, and applicable export control laws).
SECTION 2 — FORMATION OF CONTRACT
Product listings on our Site are an invitation to treat, not a binding offer. When you place an order, you make an offer to purchase the products at the listed price. A binding contract of sale is formed only when we send you a Shipment Confirmation email for the applicable items. Order confirmation emails sent automatically upon checkout acknowledge receipt of your order but do not constitute acceptance.
We reserve the right to refuse, limit, or cancel any order at our sole discretion — including, without limitation, orders that appear to be placed by dealers, resellers, or distributors, or orders flagged by our fraud-prevention systems. If we cancel an order that has already been charged, we will issue a full refund to your original payment method.
SECTION 3 — PRICING AND CURRENCY
All prices are displayed in United States Dollars (USD) unless otherwise indicated, and are exclusive of applicable sales tax, shipping fees, and any import duties or customs charges that may apply at delivery. Prices are subject to change without notice; however, once we issue a Shipment Confirmation for an order, the price confirmed in that email is final.
In the event of a manifest pricing error (for example, a product listed at a price clearly disproportionate to its normal value), we reserve the right to cancel the affected order and refund the full amount charged, even if a confirmation has been sent.
SECTION 4 — PAYMENT
Payment is required at the time of order. We accept the payment methods displayed at checkout. By submitting payment information, you represent and warrant that you are authorized to use the payment method provided. Your payment method may be authorized at the time the order is placed and charged upon dispatch of the products. Payment processing is handled by our third-party payment processors; we do not store full payment card details on our servers.
SECTION 5 — PRODUCTS
We have made every effort to display our products' colors and images as accurately as possible, but we cannot guarantee that your device's display will be accurate. Slight variations in color, finish, or dimensions from the images shown are possible and do not constitute a defect.
Products may be available in limited quantities and are subject to our Return & Refund Policy. We reserve the right to discontinue any product at any time.
SECTION 6 — SHIPPING, RISK OF LOSS, AND CUSTOMS
Shipping times and methods are described in our Shipping & Delivery Policy. Because we ship from international fulfillment partners, delivery times may vary.
Title and risk of loss for all products pass to you upon our delivery of the products to the carrier. The customer is solely responsible for any import duties, customs fees, tariffs, or taxes levied by the destination country. Refusal to pay customs fees, resulting in a returned or abandoned package, does not entitle you to a refund of original shipping charges or duty-related costs.
SECTION 7 — RETURNS AND REFUNDS
Returns and refunds are governed by our Return & Refund Policy, which forms part of these Terms of Sale. Please review it in full before placing an order.
SECTION 8 — WARRANTY DISCLAIMER
Except as expressly stated in our Return & Refund Policy or required by applicable law, all products are sold "AS IS" and "AS AVAILABLE", without any warranty of any kind, express or implied, including without limitation any implied warranties of MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, or NON-INFRINGEMENT. Some states do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you; in such states our liability is limited to the maximum extent permitted by law.
Any claim arising from the sale of a product must be brought within the time period permitted by the Uniform Commercial Code as adopted in the State of New Mexico, or such shorter period as may be permitted by applicable law.
SECTION 9 — ORDER ERRORS AND OMISSIONS
Information on the Site — including product descriptions, pricing, promotions, shipping charges, transit times, and availability — may occasionally contain typographical errors, inaccuracies, or omissions. We reserve the right to correct any such errors and to change or update information or cancel orders (including orders already submitted) if any information is inaccurate, without prior notice. If an order is cancelled and has already been charged, a full refund will be issued.
SECTION 10 — LIMITATION OF LIABILITY
Our total aggregate liability arising out of or relating to any product sold through the Site is subject to the limitations set out in our Terms of Service, including the liability cap described therein.
SECTION 11 — INDEMNIFICATION
You agree to indemnify, defend, and hold harmless IC-Expert LLC and its officers, directors, employees, agents, and service providers from any claim or demand, including reasonable attorneys' fees, arising out of your breach of these Terms of Sale or your violation of any applicable law or the rights of any third party in connection with your purchase.
SECTION 12 — DISPUTE RESOLUTION AND GOVERNING LAW
Any dispute arising out of or relating to these Terms of Sale, your order, or any product purchased through the Site is subject to the binding individual arbitration, class action waiver, and jury trial waiver set out in our Terms of Service. Please review those provisions carefully, including the 30-day opt-out procedure.
These Terms of Sale are governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
SECTION 13 — SEVERABILITY
If any provision of these Terms of Sale is determined to be unlawful, void, or unenforceable, that provision shall be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be severed without affecting the validity of the remaining provisions.
